VedaVaya may offer wellness products, beauty products, personal care products, food supplements, clothing and other lifestyle products.

You agree to use the VedaVaya website only for lawful purposes.

You must not:

• Use the website in any way that may damage, disrupt or interfere with its operation;

• Attempt to gain unauthorised access to our systems;

• Introduce viruses, harmful code or malicious software;

• Use the website for fraudulent or unlawful activities;

• Copy, reproduce, modify or distribute website content without our written permission;

• Attempt to interfere with the security or functionality of the website; or

• Use our website to infringe the rights of VedaVaya or any third party.

We reserve the right to restrict, suspend or terminate access to users who violate these Terms or misuse the website.

VedaVaya cannot guarantee that a product will be suitable for every individual.

If a customer experiences irritation, discomfort, allergic reaction or another undesirable effect after using a product, the customer should discontinue use and seek appropriate professional advice where necessary.

Customers should also notify VedaVaya as soon as reasonably possible where they believe that a product has caused an adverse reaction.

The handling of returns, refunds and product-safety concerns arising from an adverse reaction is governed by our Return & Refund Policy.

An individual allergic reaction or sensitivity does not, by itself, establish that a product is defective or automatically entitle the customer to a refund for a product that has been opened or used.

Nothing in these Terms limits any rights or remedies available to consumers under applicable law.

When placing an order through the VedaVaya website, you agree that:

• All information provided by you is accurate and complete;

• You are authorised to use the selected payment method;

• You have reviewed the relevant product information;

• You have provided accurate delivery information;

• You have provided a valid and reachable mobile telephone number where delivery is required; and

• You will comply with these Terms and our applicable policies.

Submitting an order constitutes an offer by you to purchase the selected products.

We reserve the right to:

• Refuse or cancel orders;

• Limit quantities purchased;

• Restrict sales of particular products;

• Verify customer or transaction information;

• Correct pricing or product-description errors; and

• Cancel transactions where fraud, unlawful activity, technical errors or other legitimate concerns are reasonably suspected.

Where an order is cancelled after payment has been received, any applicable refund will be processed in accordance with these Terms and applicable law.

An order confirmation or acknowledgement email confirms that we have received your order. It does not necessarily constitute acceptance of the order.

A contract of sale will generally be formed when:

• Payment has been successfully received; and

• VedaVaya has accepted and processed the order.

We reserve the right not to accept an order where, for example:

• A product is unavailable;

• There is an obvious pricing or description error;

• Payment cannot be verified;

• Fraud or misuse is suspected; or

• The order cannot reasonably be fulfilled.

If we cannot fulfil an accepted order, we will notify you and provide an appropriate remedy, which may include a refund.

Prices displayed on the VedaVaya website are stated in Mauritian Rupees (MUR) unless otherwise indicated.

Prices may be changed from time to time.

Changes may result from:

• Promotional campaigns;

• Product costs;

• Taxes or regulatory requirements;

• Exchange-rate fluctuations;

• Operational costs; or

• Other legitimate business considerations.

The price applicable to an order will generally be the price displayed at the time the order is placed, subject to correction of obvious errors.

We accept payment methods displayed at checkout, which may include:

• Debit and credit cards;

• Bank transfers; and

• Other payment methods approved and made available by VedaVaya.

Payment information is processed through authorised payment providers.

VedaVaya does not normally have access to or store complete card-payment credentials processed by third-party payment providers.

Promotional offers, discount codes, loyalty benefits and campaigns may:

• Have specific validity periods;

• Apply only to selected products;

• Be subject to minimum purchase requirements;

• Be subject to quantity or customer limits;

• Have specific terms and conditions;

• Not be combined with other promotions unless expressly stated; and

• Be withdrawn or modified where permitted by law.

Any specific terms displayed with a promotion will apply to that promotion.

VedaVaya reserves the right to correct errors or withdraw a promotion where there has been a technical, pricing or other obvious error.

All deliveries under the initial VedaVaya operating model are made within Mauritius.

Orders are processed and dispatched from our warehouse in Mauritius.

Delivery is governed by the VedaVaya Shipping Policy, which forms part of these Terms.

Standard Free Delivery

Eligible orders may benefit from free standard delivery to designated delivery areas and/or designated pickup locations.

Unless otherwise stated at checkout, standard free delivery will normally be completed within seven (7) Business Days.

Priority Free Delivery

Orders with a merchandise value of MUR 1,500 or more, calculated after applicable discounts and before shipping charges, may qualify for free priority delivery within three (3) Business Days, subject to the conditions set out in the Shipping Policy.

Delivery Contact

Providing a valid and reachable mobile telephone number is mandatory for orders requiring delivery.

VedaVaya and/or its authorised delivery partner may contact the customer to confirm the delivery time, location and other information necessary to complete delivery.

Failed Delivery

Where the first delivery attempt fails for reasons attributable to the customer, an additional charge of MUR 150 will apply to each subsequent delivery attempt.

No additional redelivery charge will apply where the failed delivery was caused solely by VedaVaya or its authorised delivery partner.

Customers are responsible for ensuring that delivery information is accurate and for being reasonably available to receive the order.

Returns and refunds are governed by the VedaVaya Return & Refund Policy, which forms part of these Terms.

Subject to applicable law and the conditions of that Policy:

• Eligible products may generally be returned within seven (7) Business Days from the date of delivery;

• Eligible change-of-mind returns must generally be unused, unopened, unsealed where applicable, undamaged and in their original resalable condition;

• Approved eligible returns may qualify for a full refund of the purchase price of the returned product;

• Refunds will normally be made to the original payment method;

• The customer is generally responsible for the cost of returning a product for a change-of-mind return;

• Certain opened, used, consumed or hygiene-sensitive products may not be eligible for change-of-mind returns;

• Clothing is subject to specific return conditions; and

• Defective, damaged, incorrectly supplied or missing products are handled separately in accordance with the Return & Refund Policy and applicable law.

Customers should review the Return & Refund Policy before making a purchase.

VedaVaya aims to supply products that are of appropriate quality, safe for their intended use and consistent with their descriptions.

Mauritius' Consumer Affairs Unit states that goods supplied to consumers should be of satisfactory quality and correspond with their description.

Nothing in these Terms, the Shipping Policy or the Return & Refund Policy is intended to exclude, restrict, reduce or waive any mandatory consumer rights or remedies available under applicable Mauritian law.

Where a product is defective, unsafe, incorrectly supplied, materially different from its description or otherwise subject to a mandatory legal remedy, the customer's legal rights will prevail over any inconsistent provision in these Terms.

All content on the VedaVaya website, including:

• Brand names;

• Logos;

• Trademarks;

• Product names;

• Designs;

• Images;

• Text;

• Graphics;

• Videos;

• Marketing materials; and

• Other website content

is owned by or licensed to Oodhub International Ventures Limited, unless otherwise stated.

You may not copy, reproduce, modify, distribute, publish, sell or commercially exploit website content without our prior written permission.

Customers may provide reviews, feedback, comments, photographs or other content.

By submitting content to VedaVaya, you grant VedaVaya a non-exclusive, worldwide, royalty-free licence to use, reproduce, display and publish that content for legitimate business, promotional and marketing purposes.

You confirm that:

• Your content is truthful and not misleading;

• You own or have the necessary rights to submit the content;

• Your content does not infringe third-party rights; and

• Your content does not violate applicable law.

We reserve the right to remove content that is:

• False or misleading;

• Offensive;

• Illegal;

• Harmful;

• Abusive; or

• Otherwise inappropriate.

You must not:

• Provide false or misleading information;

• Attempt fraudulent purchases;

• Misuse promotional codes or offers;

• Impersonate another person;

• Attempt to gain unauthorised access to VedaVaya systems;

• Intentionally damage or interfere with the website;

• Submit fraudulent or abusive return or refund claims;

• Use VedaVaya products or website content for unlawful purposes; or

• Engage in conduct that violates these Terms or applicable law.

To the maximum extent permitted by applicable law, Oodhub International Ventures Limited, VedaVaya, its employees, representatives and authorised partners shall not be liable for indirect or consequential losses arising from:

• Temporary website unavailability;

• Events outside our reasonable control;

• Delivery delays caused by circumstances beyond our reasonable control;

• Customer misuse of products;

• Failure by a customer to follow product instructions; or

• Inaccurate information supplied by a customer.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

Nothing in these Terms limits mandatory consumer rights or remedies available under applicable law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Oodhub International Ventures Limited, VedaVaya, its directors, employees, representatives and authorised partners against claims, losses, damages and reasonable expenses arising from:

• Your unlawful use of the website;

• Your material violation of these Terms;

• Your fraudulent or abusive conduct;

• Your violation of applicable law; or

• Your infringement of third-party rights.

This provision does not apply to the extent that the relevant loss results from VedaVaya's own negligence, unlawful conduct or other liability that cannot legally be excluded.

VedaVaya shall not be responsible for delay or failure to perform an obligation where the delay or failure results from circumstances beyond our reasonable control, including:

• Natural disasters;

• Severe weather;

• Government actions or restrictions;

• Road closures;

• Strikes;

• Transport disruptions;

• Infrastructure failures;

• Internet or telecommunications failures;

• Public emergencies;

• Supply-chain interruptions; or

• Other unforeseen circumstances materially affecting our ability to operate.

We will make reasonable efforts to minimise the impact of such circumstances.

Personal information collected through the VedaVaya website is handled in accordance with our Privacy Policy and applicable data-protection requirements.

By using the website, you acknowledge that your personal information may be processed for purposes described in our Privacy Policy, including order processing, delivery, customer service, account management and, where permitted and applicable, marketing communications.

We may update these Terms from time to time to reflect changes in:

• Website functionality;

• Payment methods;

• Delivery arrangements;

• Return procedures;

• Legal or regulatory requirements; or

• Business practices.

Changes become effective when published on the VedaVaya website unless otherwise stated.

The version applicable to an order will generally be the version in effect when the order was placed, subject to any mandatory requirements of applicable law.

These Terms shall be governed by and interpreted in accordance with the laws of Mauritius.

If a dispute arises, the parties should first attempt to resolve the matter through good-faith communication.

Where a dispute cannot be resolved amicably, it may be submitted to the competent courts of Mauritius, subject to any mandatory consumer rights or alternative dispute-resolution mechanisms available under applicable law.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the extent necessary to make it legally enforceable where possible.

If this is not possible, the affected provision shall be severed to the extent necessary without affecting the validity and enforceability of the remaining provisions.

Failure by VedaVaya to enforce any provision of these Terms on one occasion does not constitute a waiver of its right to enforce that provision or any other provision in the future.

These Terms, together with the:

• Privacy Policy;

• Shipping Policy;

• Return & Refund Policy; and

• Cookie Policy

constitute the agreement governing your use of the VedaVaya website and your purchase of VedaVaya products, subject to any mandatory rights and obligations imposed by applicable law.

Where there is an apparent inconsistency between these documents, the following principles apply:

• Mandatory applicable law prevails over any contractual provision.

• The specific policy governing the subject matter should be applied where the Terms provide only general provisions.

• The Terms & Conditions govern matters relating generally to the website, accounts, orders, payments and contractual relationship.

• The Shipping Policy governs delivery matters.

• The Return & Refund Policy governs returns, refunds, exchanges, replacements and product-related claims.
